What is a data room, and how to assemble one fast

A data room is a single, organized folder of the documents a serious investor needs to do diligence: your cap table, financials, key contracts, incorporation documents, and whatever else backs up the numbers in your deck. It exists so that once someone’s ready to move, nothing stalls the process waiting on you to assemble scattered files.

Most founders build theirs reactively, the week an investor asks — which is exactly the week you have the least spare time. Assembling it before it’s requested is the actual leverage move.

A fast, honest first pass: a folder with clearly named subfolders — Financials, Cap Table, Legal, Team, Product — each containing the real, current version of what belongs there. It doesn’t need to be exhaustive on day one; it needs to not be empty when someone asks. Claude can help you draft the structure and a table of contents from a messy pile of existing documents, but the documents themselves need to be the real ones — this is one of the few places where “close enough” isn’t the standard, since these are the documents an investor will actually verify against.

Update it after every material change — a new hire, a new contract, an updated cap table — rather than reconstructing it from scratch at the next raise.
